Joint ventures tend to arise when two or more organisations seek to work together to pool resources for example to develop or exploit new products, intellectual property or markets.
 
There are different structures which a joint venture can take including contractual co-operation agreements or partnership arrangements involving only the participants or, perhaps more commonly, corporate transactions where a new entity is formed which is owned between the participants.
 
In this case the matters which need to be agreed between the participants include the constitution of the new entity and how it is to be owned and controlled and what they will each put into it. The key documents include the joint venture agreement and the articles of association of the joint venture company. Usually the joint venture company is a limited company but it is also possible that the participants could incorporate a limited liability partnership.
